1. Acceptance of Terms

By downloading, installing, or using Closerly, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

We may modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the modified Terms.

2. Eligibility

To use Closerly, you must:

• Be at least 13 years of age (or the minimum age in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the App under applicable laws
• Create only one account per person

3. Account Registration

To access Closerly's features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized account access
• Be responsible for all activities under your account

4. Partner Connection

Closerly is designed for couples. When connecting with a partner:

• You must have consent from your partner to connect accounts
• Information you share becomes visible to your connected partner
• Either party can disconnect at any time
• You are responsible for the content you share with your partner

5. Acceptable Use

You agree to use Closerly only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the App for any illegal or unauthorized purpose
• Harass, abuse, or harm another person
• Share content that is offensive, harmful, or inappropriate
• Impersonate any person or entity
• Upload viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the App or servers
• Use automated systems or bots to access the App
• Violate any applicable laws or regulations
• Infringe on intellectual property rights

6. User Content

6.1 Your Content

You retain ownership of content you create and share on Closerly ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content solely for the purpose of operating the App.

6.2 Content Guidelines

User Content must not:

• Contain illegal, harmful, or objectionable material
• Infringe on third-party intellectual property rights
• Contain personal information of others without consent
• Promote violence, discrimination, or illegal activities

6.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice.

7. Premium Features and Payments

Closerly may offer premium features through in-app purchases or subscriptions:

• Prices are displayed before purchase and may vary by region
• Payments are processed through app store payment systems (Google Play, Apple App Store)
• Subscriptions auto-renew unless cancelled before the renewal date
• Refunds are subject to app store policies
• We reserve the right to modify pricing with reasonable notice

8. Intellectual Property

The App, including its design, features, content, and trademarks, is owned by Closerly and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the App or its content
• Reverse engineer or decompile the App
• Use our trademarks without written permission
• Remove any copyright or proprietary notices

9. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

10. Third-Party Services

Closerly may integrate with third-party services. We are not responsible for:

• The content, privacy practices, or availability of third-party services
• Any damage or loss caused by third-party services
• Transactions between you and third parties

11. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability and fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy or reliability of content
• Security of data transmission

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOSERLY SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of data, profits, or goodwill
• Any damages exceeding the amount paid by you in the past 12 months
• Actions or content of other users

13. Indemnification

You agree to indemnify and hold harmless Closerly and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your User Content
• Your violation of any rights of another

14. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Any reason at our sole discretion with notice

You may delete your account at any time through the App settings or by contacting us.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be:

• First attempted to be resolved through informal negotiation
• Subject to binding arbitration if negotiation fails
• Governed by the laws of the jurisdiction where Closerly is incorporated

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Closerly
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign your rights under these Terms without our consent
